Mayor Havens called the Regular Meeting to order at 8:10 p.m.

5.      Public Input

First to speak was Roy Normen, 158 Homestead Drive, who said he was present to speak in favor of Agenda Item 17. D. (Resolution Amending the 2004/2005 Adopted Town Budget to Reflect Recent Increase in State Financial Assistance to the Town of South Windsor). He felt the money newly derived from the State should go back into the General Fund to reduce future taxes.

Mr. Normen said he also wished to oppose Agenda Item 17. H. (a Resolution authorizing the Town Manager to enter into a Contract to sell the Town’s delinquent municipal tax liens to a private business).  It was Mr. Normen’s feelings that a different approach should be considered rather than selling them off to a business that will benefit from the 18% per year interest on these liens.  That interest money, he contended, could be used by the Town to more effectively collect taxes so that there were fewer liens each years.

Next to speak was Mr. Linc Streeter, 56 Bramblebrae, who also spoke in favor of Agenda Item 17. D.  He, too, felt that the $562,000 received from the State should be used to lower the tax rate.  He pointed out that the possibility of lowering a tax increase of 4.82% to 3.9% was significant; and the taxpayers of South Windsor “are entitled to it.”

Mr. Streeter then asked the Town Council what it would have done had the State given the Town the $562,000 on May 1st, rather than at this late date.  Mayor Havens responded that the Council would, probably, not have taken it from the Fund Balance to begin with had this money been received prior to setting the Budget.

However, Mr. Streeter felt that this was money that the State of Connecticut used to forward to the Town of South Windsor to help it in “its tax situation.”  He felt this was a major issue—to put aside a half of a million dollars—he wanted it used to lower the taxes people have to pay.

Craig Zimmerman, 5 A. Amato Drive, reminded the Council and listening public that this weekend the American Legion Baseball Program starts its season.  (He provided each Councillor with a program of the “Opening Ceremonies” to be held this Sunday, June 13.)  He hoped the Council would attend.

Next, and what Mr. Zimmerman felt was even more important, was the fact that South Windsor would, this year, be hosting the State “American Legion Baseball Tournament.”  He explained that it’s the “best 16 teams in Connecticut;” and for the last 30 years the tournament has been held in Bristol, Middletown, or Torrington—mainly, because these three communities have “baseball stadiums.”

The dates of the Tournament, Mr. Zimmerman reported, are Saturday, July 31 to Saturday, August 7; and this year, he added, that Tournament is at Rotary Field in South Windsor’s Nevers Road Park.   The participants in this Tournament, he said, are basically ages 15 to 19.  Mr. Zimmerman felt that having this Tournament in South Windsor was a great way to “showcase” all the things this Town has to offer for visitors attending the Tournament.

Edwina Futtner, 283 Sandstone Drive, addressed the Council to speak in favor of Resolution 17. D. (Resolution Amending the 2004/2005 Adopted Budget).  Ms. Futtner said that something had to be done about “lowering our taxes.”  Informing Council that within the last “couple of years” her taxes had gone from $2,700 to $4,341—with yet another tax increase imminent--Ms. Futtner asked that the recently received money from the State be used to reduce the impact of the new tax rate.

Motion to adopt the Minutes of the following Town Council meetings: Regular Meeting of April 19, 2004; Joint Meeting of the Town Council and the Board of Education of April 26, 2004; Work Session of May 3, 2004; and Regular Meeting of May 3, 2004.

10.     Communications and Reports from Town Manager

Mr. Galligan went over the Agenda Items, pointed out that there were three (3) “tax partnerships” included--O&W Heat Treat, Inc.; MASS-CONN Distributors; and Electro-Methods Inc.  All of these, he pointed out, have been approved by the Economic Development Commission.

Another Resolution the Town Manager addressed was the acquisition of a “new financial software package.”  The current package, he pointed out, was an “old system;” and there is only one (1) company remaining in the United States that maintains it; and only two other communities in Connecticut that has it.  He felt it was time to change to “MUNIS”   Mr. Galligan said that the Board of Education has also acquired this package from MUNIS.

Next Resolution to be addressed by Mr. Galligan was a “reappropriation of $78,000 from a prior Fiscal Year” for items that did not need to be purchased.  This Resolution, he added, was prepared by the Town’s Auditors, and the “numbers” before Council have been verified.

10.     Communications and Reports from Town Manager


Also included on this evening’s Agenda, Mr. Galligan pointed out, was a proposal for the Town’s “delinquent tax liens.”  Referring to a past serious problem with selling delinquent tax liens, Mr. Galligan stressed that “this is not an NBS product.” Under State Statute,  he said, the Town is allowed to go after and sell off its delinquent taxes; and there’s two ways of doing this—“Go to collection where you can sell them off; or you can possibly foreclose yourself on properties and then force the sale of the property and then collect your taxes.”

Still referring to the delinquent tax liens, Mr. Galligan said that some of those included in the list were “unique” because they go back as far as 10 or 15 years.  Once you go beyond the 15-year mark, he added, State Statute does not allow you to collect past that mark—thus the need to collect these taxes before that 15-year mark is reached.

Although the original list totaled over $1 million in delinquent taxes, Mr. Galligan reported that close to $200,000 has already been collected by the Town with the collection of another possible $200,000 where people are refinancing to pay their taxes.  These delinquent taxes, the Town Manager said, have been taken off the list of liens to be sold in order to give these taxpayers an opportunity to pay their taxes.   

He explained that the bulk of the taxes on the list this evening are commercial properties; and that the company purchasing the liens must “hold on to them for six months”—thus providing the opportunity to these taxpayers to redeem their taxes from the successful bidder.  Mr. Galligan also said that a private business purchasing these liens could do “a lot more with payment plans than we can ever do” because of the limitations put on the Towns by State Statutes and Town Charters.

Concluding the discussion on this Resolution, Mr. Galligan informed the Council that the successful bidder on the purchase of these liens is American Tax Funding.”  This same company, he added, has been the successful bidder in Cheshire, and other Connecticut towns; and do this for a living.  He said that this company has an economic development division where they take a look at some of these commercial properties and “put them back into commercial use.”

10.     Communications and Reports from Town Manager

Finally, Mr. Galligan reported that USF Red Star presented Mayor Havens and himself with a notice of their “closing.”  He felt the letter was self-explanatory; and explained clearly the financial conditions that have forced this closing.  He said he had called the Company’s Officer who had authored the letter and asked if the Town, using its “limited programs” could do anything to help that might keep the Company in South Windsor.  

Public Works negotiations, he said, were ongoing, and he would keep Council informed of their progress.

Mr. Galligan reported that the Redevelopment Agency did receive a response to their Request for Proposal.  That Proposal was submitted, he said, by the same people who are doing Evergreen Walk – namely, Richard Ripps and John Finguerra.  These gentlemen did come in with a “conceptual plan,” according to the Town Manager.  The next step, he added, would be for the Redevelopment Agency to work with the landowners in the I-291 area.

Regarding those landowners, Mr. Galligan reported that the Redevelopment Agency had a meeting last week to which they invited those landowners in order to discuss the I-291 project and what the Town would like to see develop in that area.   Regarding the environmental issues in that area, the Town continues to work with the DECD who continues to be most helpful.  He anticipated that within the next 4 or 5 months that issue “will be behind us;” the Agency will have some conceptual plans; and the Agency can begin to market off that particular area..

A.      Resolution Approving a Tax Assessment Agreement With O & W Heat Treat, Inc.

WHEREAS, the Town of South Windsor’s Economic Development Incentive Program, established pursuant to Connecticut General Statutes Section 12-65b, is intended to encourage the development and expansion of quality businesses in Town through tax and other economic incentives, and is designed to attract businesses that will generate substantial additional tax revenues and employment opportunities for the Town while providing quality goods and services; and

WHEREAS, the South Windsor Economic Development Commission recommends, pursuant to said program, that a tax assessment agreement be offered to O & W Heat Treat, Inc. to construct a 5,000 square foot addition to their existing building on property located at 1 Bidwell Road, South Windsor, Connecticut, at an estimated cost of $413,372 for land and building improvements.

NOW, THEREFORE, BE IT RESOLVED that the South Windsor Town Council is pleased to offer a Tax Assessment Agreement between the Town and O & W Heat Treat, Inc. reducing the amount of the assessment of the new addition which is estimated at $227,770 based upon estimated building improvements, by 50% for a period of three (3) years; therefore the estimated assessed value of the new addition improvements to the real property would be $113,885 for a period of three (3) years, commencing with the Grand List following the date of the Certificate of Occupancy on the new addition, unless said assessment is changed by the Town in its upcoming revaluation, in which case, the assessed value of said improvements to the real property shall be reduced by 50% of said assessed value after revaluation; and

BE IT FURTHER RESOLVED that the South Windsor Town Council offers O & W Heat Treat, Inc. this Tax Assessment Agreement upon the condition that the business shall (1) meet the improvement cost figures and agree to the estimated assessment figures; (2) continue operations in South Windsor for a minimum of ten (10) years; and (3) maintain its local facilities approximately at a minimum of the currently proposed levels of employment during this ten-year period; and, if it fails to meet these conditions, O & W Heat Treat, Inc. agrees to refund to the Town of South Windsor all of the tax savings described herein which the Company has received.

B.      Resolution Approving a Tax Assessment Agreement With MASS-CONN Distributors CPL, Inc.

WHEREAS, the Town of South Windsor’s Economic Development Incentive Program, established pursuant to Connecticut General Statutes Section 12-65b, is intended to encourage the development and expansion of quality businesses in Town through tax and other economic incentives, and is designed to attract businesses that will generate substantial additional tax revenues and employment opportunities for the Town while providing quality goods and services; and

WHEREAS, the South Windsor Economic Development Commission recommends, pursuant to said program, that a tax assessment agreement be offered to MASS-CONN Distributors CPL, Inc. to construct a 27,000 square foot Light Manufacturing Building and Warehouse facility on Lots #9 and #10 located at 12 Commerce Way, South Windsor, Connecticut at an estimated cost of $2,400,000 to $2,700,000 for land and building improvements.

NOW, THEREFORE, BE IT RESOLVED that the South Windsor Town Council is pleased to offer a Tax Assessment Agreement between the Town and MASS-CONN Distributors CPL, Inc. reducing the amount of the assessment of a new building having an estimated overall assessment of

$1,560,000, by 50% for a period of five (5) years; therefore, the estimated assessed value of the new improvements to the real property would be $780,000 for a period of five (5) years, commencing with the Grand List following the date of the Certificate of Occupancy on the new addition, unless said assessment is changed by the Town in its upcoming revaluation, in which case, the assessed value of said improvements to the real property shall be reduced by 50% of said assessed value after revaluation; and

BE IT FURTHER RESOLVED that the South Windsor Town Council offers MASS-CONN Distributors CPL, Inc. this Tax Assessment Agreement upon the condition that the business shall (1) meet the improvement cost figures and agree to the estimated assessment figures; (2) continue operations in South Windsor for a minimum of ten (10) years; and (3) maintain its local facilities approximately at a minimum of the currently proposed levels of employment during this ten-year period; and, if it fails to meet these conditions, MASS-CONN Distributors CPL, Inc. agrees to refund to the Town of South Windsor all of the tax savings described herein which the Company has received.

WHEREAS, the South Windsor Economic Development Commission recommends, pursuant to said program, that a tax assessment agreement be offered to Electro-Methods, Inc. to construct a 25,000 square foot Light Manufacturing Building and Warehouse facility at 519 Nutmeg Road, South Windsor, Connecticut, at an estimated cost of $1,000,000 for land and building improvements.

NOW, THEREFORE, BE IT RESOLVED that the South Windsor Town Council is pleased to offer a Tax Assessment Agreement between the Town and Electro-Methods, Inc. reducing the amount of the assessment of a new building having an estimated overall assessment of $562,350, by 50% for a period of three (3) years; therefore the estimated assessed value of the new improvements to the real property would be $281,170 for a period of three (3) years, commencing with the Grand List following the date of the Certificate of Occupancy on the new addition, unless said assessment is changed by the Town in its upcoming revaluation, in which case, the assessed value of said improvements to the real property shall be reduced by 50% of said assessed value after revaluation; and

BE IT FURTHER RESOLVED that the South Windsor Town Council offers Electro-Methods, Inc. this Tax Assessment Agreement upon the condition that the business shall (1) meet the improvement cost figures and agree to the estimated assessment figures; (2) continue operations in South Windsor for a minimum of ten (10) years; and (3) maintain its local facilities approximately at a minimum of the currently proposed levels of employment during this ten-year period; and, if it fails to meet these conditions, Electro-Methods, Inc. agrees to refund to the Town of South Windsor all of the tax savings described herein which the Company has received.

D.      Resolution Amending the 2004/2005 Adopted Town Budget to Reflect Recent Increase in State Financial Assistance to the Town of South Windsor

WHEREAS, the South Windsor Town Council approved a budget for fiscal year 2004/2005 on May 3, 2004; and

WHEREAS, the State Legislature subsequently passed legislation increasing financial assistance to Connecticut municipalities, which legislation was not signed into law by Governor Rowland at the time that the South Windsor Town Budget was approved; and

WHEREAS, South Windsor will receive, as a result of this legislation, $522,871 in additional funding during fiscal year 2004/2005;

NOW, THEREFORE, BE IT RESOLVED that the South Windsor Town Council hereby amends only that portion of the South Windsor Town Budget involving revenue projections for fiscal year 2004/2005, to reflect the $522,871 in increased revenue from the State of Connecticut; and

BE IT FURTHER RESOLVED that, as a result of said amendment to revenue projections, the South Windsor Town Council hereby amends the mill rate from 31.23 to 30.95, with a resulting reduction of the property tax increase from 4.82% to 3.9%--and as shown on attached Exhibits A and B.

E.      Resolution Approving the “Benefits for Businesses” Proposal for Local Business Owners and their Employees

WHEREAS, local businesses have increasingly become an integral part of the recreation and leisure movement in South Windsor; and

WHEREAS, local businesses have provided financial or in-kind contributions to support popular Town activities such as outdoor summer concerts; the annual Egg Hunt; the seals swim team; and

WHEREAS, advertisements by local businesses in Recreation Department publications, and “giveaways” for Town special events, have been of immeasurable financial assistance in defraying Town costs in these areas; and

WHEREAS, our willingness to “partner” with these good neighbors in future recreational activities would be an ideal opportunity for South Windsor to show its gratitude for their past generosity

NOW, THEREFORE, BE IT RESOLVED that the South Windsor Town Council directs Town Manager Matthew Galligan to extend to the OWNERS of these local businesses full resident privileges for all recreation-sponsored programs and services; and

BE IT FURTHER RESOLVED, that EMPLOYEES of local businesses now be extended partial resident privileges limited to those non-capacity recreation- sponsored programs and services specified by the Town Manager, and  

BE IT FURTHER RESOLVED that these “Benefits for Businesses” shall become effective as outlined in the “Benefits for Businesses Policy,” and following Town Council approval of this Resolution.

F.      Resolution Authorizing the Town Manager to Acquire New Financial Software

WHEREAS, the Town wishes to acquire MUNIS financial software from Tyler Technologies, Inc. at a cost of $256,989; and

WHEREAS, the Savings Bank of Manchester, a division of NewAlliance Bank, has agreed to finance this transaction through a lease/purchase agreement, with a term of sixty (60) months

NOW, THEREFORE, BE IT RESOLVED that the South Windsor Town Council hereby authorizes Matthew B. Galligan, Town Manager, with the assistance of the Town Attorney, to enter into a lease/purchase agreement with the Savings Bank of Manchester to finance the acquisition of the MUNIS software.

G.      Resolution Authorizing the Board of Education to Continue the Appropriation of $78,913.82 in the 2004/2005 Fiscal Year

WHEREAS, the South Windsor Board of Education had $799,539.96 encumbered at the end of the 2002/2003 Fiscal Year; and

WHEREAS, the South Windsor Board of Education has stated that $78,913.82 of the 2002/2003 encumbrance is not needed for its originally intended purpose.

NOW, THEREFORE, BE IT RESOLVED that the South Windsor Town Council hereby authorizes the South Windsor Board of Education to continue the appropriation of $78,913.82 in the 2004/2005 Fiscal Year; and

BE IT FURTHER RESOLVED that the use of said funds will be at the discretion of the South Windsor Board of Education.

H.      Resolution Authorizing the Town Manager to Enter Into a Contract in Accordance with the Responses to the Requests for Proposals for the Purchase of the Town of South Windsor Delinquent Municipal Tax Liens

WHEREAS, the Town wishes to sell and assign various delinquent municipal property tax liens to a third party in accordance with the provisions of Section 12-195h of the Connecticut General Statutes; and

WHEREAS, the Town of South Windsor sent out a Request for Proposals for the sale and assignment of various delinquent municipal property tax liens of the Town of South Windsor in the amount of $1,028,492.41; and

WHEREAS, the Town received one bid in response to said RFP, which bid was made by American Tax Funding, LLC in the amount of $1,028,492.41; and

WHEREAS, since distributing the Requests for Proposals, the Town has received payments and payment arrangements made by property owners on the original list; and

WHEREAS, as a result of these changes, the tax liens being sold will be reduced to $650,034.30, as noted on Exhibit C attached hereto.

NOW, THEREFORE, BE IT RESOLVED that the South Windsor Town    Council hereby authorizes the Town Manager, with the assistance of the Town Attorney, to enter into a contract with American Tax Funding, LLC for the sale and assignment of delinquent municipal property tax liens in the amount of $650,034.30 or such amount as is outstanding on these properties at the time of contract in accordance with the response to Requests for Proposals and Exhibit C attached hereto.

I.      Resolution Approving a Refund of Property Taxes to Four (4) South Windsor Taxpayers

BE IT RESOLVED that the South Windsor Town Council approves a property tax refund to four (4) South Windsor taxpayers, said refunds totaling $788.44, and as shown on attached Exhibit D.

J.      Transfer of Funds within the Capital Projects Accounts to Cover Costs Associated with Culvert Replacement on Lawrence Road and Drainage Improvements to Griffin Road

WHEREAS, The Town Council has allocated capital funds for the replacement of a culvert crossing Lawrence Road and the project scope has been reduced during engineering such that this project will not cost as much as originally estimated, and

WHEREAS, The Town Council has allocated capital funds for drainage improvements along Griffin Road near Brookfield Street and the scope of this project has increased during engineering and bidding and the cost has also increased beyond the original estimate,

NOW, THEREFORE, BE IT RESOLVED that the South Windsor Town Council hereby authorizes the transfer of $110,000 from Capital Account Number 004-4000-4093-320, Lawrence Road Culvert to Capital Account Number 004-4000-4040-320, Griffin Road Drainage to fund both the culvert replacement on Lawrence Road and drainage improvements to Griffin Road.

Following a short discussion, Deputy Mayor Pelkey moved to Amend the Resolution by removing, from the last paragraph the words “to fund both the culvert replacement on Lawrence Road and drainage improvements to Griffin Road;” and replacing it with the words “to fund the increased cost of drainage improvements to Griffin Road.”

The Motion to Amend was seconded by Councillor Streeter; and was approved, unanimously.  Mayor Havens then called for a vote on the Amended Resolution.  It was approved, unanimously.

K.      Resolution Approving Partial Refund of Property Taxes for 1060 Main Street, South Windsor, Connecticut, Due to Overpayment

WHEREAS, a tax appeal filed by Continuing Care of South Windsor, Inc. (hereinafter “Continuing Care”) relating to property owned at 1060 Main Street, South Windsor, Connecticut, was recently settled between the Town and Continuing Care during a pretrial settlement conference before Judge George Levine, New Britain Superior Court; and

WHEREAS, as a result of said settlement, the fair market value of the property at 1060 Main Street, South Windsor, Connecticut, was reduced to $7,200,000 and the valuation of said property for purposes of assessment at 70% of fair market value was reduced to $5,040,000; and

WHEREAS, on April 28, 2004, said judgment was entered by the Court in accordance with the stipulation of the parties; and

WHEREAS, as a result of the reduced fair market value and assessment of the property, Continuing Care overpaid its taxes for the Grand List of 2002 in the amount of $22,267.43; and

WHEREAS, it was agreed among the parties that said overpayment would be reimbursed as follows:  The sum of $15,000 would be refunded to Continuing Care immediately and the balance of $7,267.43 would be applied as a credit to the first tax payment on the 2003 grand list, which is due July 1, 2004.

NOW, THEREFORE, BE IT RESOLVED that the South Windsor Town Council hereby approves the refund in the amount of $15,000 to Continuing Care of South Windsor, Inc. or its representatives immediately, and the application of a credit in the amount of the balance of $7,267.43 to be made against the first payment on the 2003 grand list, which is due July 1, 2004.

A Motion was made by Deputy Mayor Pelkey to go into Executive Session to discuss pending litigation.  The Motion was seconded by Councillor Delnicki, and was approved, unanimously.

A Motion to Adjourn was made by Deputy Mayor Pelkey at 10:00 a.m., was duly seconded; and approved, unanimously.
