- Call to Order Chairman M. Donahue called the meeting to order at 7:31 PM. Chairman M. Donahue, G. Herbert, E. Pavlovics, E. Bresette and P. Nimirowski were present. Secretary T. Oswald was absent.

- Review of Management Discussion and Analysis/Audit Status
- Auditor Fraud Questionnaire E. Pavlovics motioned the BoF submit the Auditor Questionnaire as discussed and amended be adopted by the Board and forwarded to the Auditor. E. Bresette seconded and the motion passed 5-0-0.

- Election of Officers
- G. Herbert motions to nominate M. Donahue as Chairman until the next biannual election. E. Pavlovics seconded and the motion passed 6-0-0.
- E. Bresette motions to nominate G. Herbert as Vice Chair until the next biannual election. T. Oswald seconded and the motion passed 6-0-0.
- G. Herbert motions to nominate T. Oswald as Secretary until the next biannual election. E. Pavlovics seconded and the motion passed 6-0-0.
- Previous Minutes G. Herbert moved to approve the 16 December 2009 BoF Regular Meeting minutes as written. P. Nimirowski seconded and the motion carried 5-0-1 with T. Oswald abstaining.

- Adjournment E. Bresette motioned to adjourn and G. Herbert seconded. The motion carried 6-0-0, and the meeting adjourned at 9:41 PM. The next BOF meeting will be held at 7:30 PM Wednesday 20 January 2010 in the New Town Hall.
