Present:        Supervisor Frank X. Quinn, Councilmen, Mark A. Quinn, Edward F. Rosenberg, Christopher A. Koetzle and Councilwoman Valerie M. DiGiandomenico

Absent: None

                Supervisor Quinn – “Tonight is the Organizational Meeting so it is somewhat different than the typical meetings that we have in a sense that the major difference is we make all of our year long appointments and announcements and administrative details happen tonight.  This is the only meeting in the year where we do not have Privilege of the Floor.  We have forty some items that we are going to be taking up and in those items since many of them are similar in the sense that they are administrative or operational kinds of things you will hear us call for a consent agenda.  A consent agenda is if you have similar items, not identical, but similar like several administrative announcements or appoints to commissions or committees and positions and so forth, if the Board so chooses we can vote those all at once and we will identify which ones we think are similar.  If one of the Board members prefer to not have an item included in the consent agenda then they can request that the item be taken out and move on it as a separate distinct item.

                At the end of tonight’s meeting we will be going into an executive session to discuss two items that are pending that involve litigation.  It is not anticipated that any decisions will be made when we come out of executive session.

                Supervisor Quinn called the meeting to order at 7:30 PM.   Supervisor Quinn gave the Invocation and led us in the Pledge of Allegiance.

                Supervisor Quinn asked the Town Clerk, Linda C. Neals, to call the roll.  Everyone was present and accounted for.

Supervisor announces the following appointments:

        a).     Deputy Supervisor – Edward F. Rosenberg
        b)      Commissioner of Public Works, Richard D. LeClair
        c).     Deputy Highway Superintendent, Jeffrey Gemmette, per    recommendation of Highway Superintendent.

                I would like to make a motion to act on a series of resolutions on a consent agenda so I am proposing that Item #’s 1 – 9 be voted on as a consent agenda.

RESOLUTION NO. 1-2009

                BE IT RESOLVED, that the regular meetings of the Town Board of the Town of Glenville shall be held on the first and third Wednesday of the month during the year 2009, excepting the months of June, July and August when the said regular meetings shall be held only on the third Wednesday of those respective months, and

                BE IT FURTHER RESOLVED, that the Town Board will meet in a work session on the second Wednesday of each month on an as needed basis; and

                BE IT FURTHER RESOLVED, that all regular meetings and work sessions shall convene at 7:30 P.M., prevailing time, unless otherwise designated, within sufficient time and shall be held at the Glenville Municipal Center, 18 Glenridge Road, Glenville, New York, and

                BE IT STILL FURTHER RESOLVED, that the following Boards and Committees will meet as follows:

RESOLUTION NO. 2-2009

                BE IT RESOLVED, that the First National Bank of Scotia, the Bank of America, J. P. Morgan, First Niagara Bank, Key Bank and Citizens Bank be and they hereby are designated as the official depositories for all Town Funds and accounts of the Town of Glenville for the year 2009.

                BE IT RESOLVED, that The Daily Gazette be and it hereby is designated as the official newspaper of the Town of Glenville for the year 2009, as provided by Section 64, Subdivision II of the Town Law.

RESOLUTION NO 4-2009

                BE IT RESOLVED, that all town officers and employees, including members of the Planning and Zoning Commission and members of the Board of Appeals, when necessary to use their own automobile in the performance of their respective duties and responsibilities and upon submission and approval of an itemized account of the mileage traveled, shall be entitled to reimbursement at the rate of 55.0 cents per mile for the year 2009.

RESOLUTION NO. 5-2009

                WHEREAS, the Town Board of the Town of Glenville by Resolution No. 54-92, adopted on March 4, 1992, established a procurement policy for the Town of Glenville, and

                WHEREAS, said procurement policy requires an annual review by the Town Board,

                NOW, THEREFORE, BE IT RESOLVED that the Town Board of the Town of Glenville hereby ratifies the Procurement Policy and Procedures as set forth by Resolution No. 54-92, along with all amendments made and unanimously accepted thereafter.

RESOLUTION NO. 6-2009

                WHEREAS, the position of Town Administrator exists in the Town of Glenville through Local Law enacted in 1993, and

                WHEREAS, the Town Board appointed Anthony J. Germano to this position from April 05, 2007 thru December 31, 2008 and has determined that it is in the best interest of the town that the Town Administrator be re-appointed, and

                NOW, THEREFORE, BE IT RESOLVED, that Mr. Anthony J. Germano, 43 Zelenke Drive, Wynantskill, N.Y.,12198, is hereby re-appointed to the position of Town Administrator, effective Thursday, January 1, 2009 through December 31, 2009, at an annual salary of $92,925, and

                BE IT FURTHER RESOLVED, that the budget for account 01.00.1010.1000 be increased by $2,295 from fund balance to fund this; and

                BE IT FURTHER RESOLVED, that other terms and conditions of employment were previously established in correspondence dated March 9, 2007 also remain in effect.

RESOLUTION NO. 7-2009

                WHEREAS the United States Government, the New York State Government, the Metroplex Authority, and various foundations and corporations have established numerous programs for the issuance of grants which could benefit the Town of Glenville; and

                WHEREAS the Town of Glenville is desirous of obtaining any grants which may be beneficial to the Town and its residents; and

                WHEREAS Susan M. Lombardi, on behalf of Community Development Resources, LLC, 51 Pashley Road, Glenville, New York, has agreed to provide assistance to the Town of Glenville as a consultant and independent contractor in the Town’s efforts to obtain grants,

                NOW, THEREFORE, BE IT RESOLVED that the Town Board of the Town of Glenville hereby retains Susan Lombardi, on behalf of Community Development Resources, LLC, 51 Pashley Road, Glenville, New York, commencing January 1, 2009 and terminating December 31, 2009; and

                BE IT FURTHER RESOLVED that the Town agrees to pay the contractor the sum of $33,736, which will be entirely recouped from grants secured, where allowed during the fiscal year 2009; and

                BE IT FURTHER RESOLVED that the budget for account 01.00.1220.4500 be increased by $902 from fund balance to fund this; and

                BE IT FURTHER RESOLVED that Frank X. Quinn, Supervisor of the Town of Glenville, is authorized to sign said agreement on behalf of the Town.

Discussion…

                Councilman Rosenberg – “This was as most people know, we have all talked about it for a while and it finally came to fruition.  One of the things is that our salaries were considerably lower than the surrounding towns and part of that was made up by the fact that not just the Board members but our Town Justices were also eligible for medical insurance and because they were eligible for medical insurance if they didn’t need the insurance they took the opt out which in fact raised the salary.  What we have done as a board is removed that eligibility for the insurance and the opt out and we have adjusted the salaries accordingly and this year it will be a break even but every year it will be a savings because the salary of the board members will theoretically only go up by a small amount while the insurance is going up at a large amount.  It will be a considerable cost savings.”

RESOLUTION NO. 8-2009

                NOW, THEREFORE, BE IT RESOLVED that effective January 1, 2009, part-time elected officials for the Town of Glenville (Town Board and Justices) shall be ineligible for medical, dental, vision insurance coverage and medical prescription reimbursements paid for by the Town of Glenville, including ineligibility for the opt-out benefit for not accessing town medical insurance; and

                BE IT FURTHER RESOLVED that the town’s Personnel Policy will be amended in accordance with this resolution.

                WHEREAS, the Town of Glenville Planning and Zoning Commission (PZC) routinely solicits engineering firms to assist with the review of technical elements of subdivision and site plan review applications; and  

                WHEREAS, there are a number of qualified local engineering firms who provide municipalities with consulting engineering services;

                NOW, THEREFORE, BE IT RESOLVED, that the Town Board hereby authorizes the Town Planner to retain the services of the following engineering firms to perform engineering reviews of applications that come before the Planning and Zoning Commission, with the cost for engineering review to be paid for by the planning/zoning applicant:

RESOLUTION NO. 14-2009

                WHEREAS the Receiver of Taxes and Assessments annually hires part-time assistants during the tax collection periods; and

                WHEREAS the funds for hiring part-time assistants, with no benefits, have been provided by the 2009 Town Budget,

                NOW, THEREFORE, BE IT RESOLVED that the Town of Glenville hereby authorizes the Receiver of Taxes, at her discretion, to hire temporary employees for the collection of 2009 taxes at a monetary level [hours worked, hours paid with no benefits], no greater than provided for in the 2009 budget.  Expenditure not to exceed $24,365.

                WHEREAS, the Town Board of the Town of Glenville has authorized Glenville’s participation in the Schenectady County Cable Consortium Council for the purpose of Intermunicipal cooperation in negotiating various municipalities cable franchise agreements, and

                WHEREAS, the Town of Glenville needs to designate a representative and an alternate to this council,

                NOW, THEREFORE, BE IT RESOLVED, that Frank X. Quinn, Supervisor, is hereby designated as Glenville’s representative and James MacFarland, Director of Human Services, is hereby designated as Glenville’s alternate for the period of January 1, 2009 through December 31, 2009.

                Councilman Rosenberg – “I requested to pull these out because we have tried to have an open process in which all of the board was involved in especially appointing new people to these commissions and this is the first time that I am seeing this name that we are adding.”

                Supervisor Quinn explained that Mr. Foster’s resume was distributed to all board members.  He stated that Mr. Foster had served in other capacities and other committees in our town in the past and that he has been a public servant for other social and civic clubs as well.

RESOLUTION NO. 18-2009

                WHEREAS, the Zoning Board of Appeals consists of five (5) members and two (2) alternate members; and

                WHEREAS, James Golden resigned effective December 31, 2008;

                NOW, THEREFORE, BE IT RESOLVED that Brian Foster, 44 Heritage Parkway, Glenville be appointed to the Zoning Board of Appeals for a term of five (5) years, commencing January 1, 2009 and terminating December 31, 2013; and

                BE IT FURTHER RESOLVED that James W. Derrick be re-appointed as Chairman, effective January 1, 2009 and terminating December 31, 2009.

                Councilman Rosenberg – “I would like to table this until our next meeting if possible so we can have time to review the re-appointments.

                These are pretty big positions and I think we need to make sure that we think it through.  I don’t know if it would hurt for us to discuss it as a board.”

                Councilman Koetzle – “I don’t disagree with you but we have known about this Organizational Meeting for six weeks now, I think we would have had time to bring that up prior to tonight.  That is my only issue in tabling it at this point.  No one raised a flag before tonight.  I can’t support tabling this resolution.”

                WHEREAS, the Planning and Zoning Commission consists of seven (7) members, and

                WHEREAS proper accounting practices require that a contract be entered into between the Town of Glenville and the County of Schenectady before the Town of Glenville contributes to the Indian Kill Open House and Fishing Day,

                NOW, THEREFORE, BE IT RESOLVED that the Town Board of the Town of Glenville hereby authorizes the payment not to exceed the sum of One Hundred Dollars ($100.00) to the County of Schenectady to support the Indian Kill Open House and Fishing Day, which will take place in May, 2009, and in exchange for which the County of Schenectady will organize, coordinate and run the Indian Kill Open House and Fishing Day at which event Glenville youths fifteen years of age or younger will have the opportunity to catch trout, learn about trout habitats and stream biology; and

                WHEREAS, Freedom Park, which is located within the Village of Scotia, New York, and

                WHEREAS, Freedom Park is a non profit organization made up of unpaid volunteers, and

                WHEREAS, Freedom Park expenses consist of paying performers and a sound technician as well as maintaining the sound system, and

                WHEREAS, each year Freedom Park strives to provide a diversity of programming that will serve a variety of audiences from preschoolers to senior citizens at the Wednesday night performances from the end of June through the end of August, and

                WHEREAS, acts include big band, country, popular, Polish, Celtic, German, jazz, Dixieland and rhythm and blues, and

                WHEREAS, admission to all performances are free, and

                WHEREAS, most of the funding for Freedom Park comes from contributions made by individuals and families in the area, and

                WHEREAS, the Village of Scotia contributes, each year, along with maintaining the physical plant, and

                WHEREAS, the Town Board of the Town of Glenville is desirous of continuing its support to Freedom Park by giving of its fair share,

                NOW, THEREFORE, BE IT RESOLVED that the Town Board of the Town of Glenville hereby authorizes the payment, not to exceed the sum of One Thousand Six Hundred Twenty-five Dollars [$1,625.00] for the support for the 2009 Summer Concert Series in Freedom Park, Village of Scotia, New York, and

                WHEREAS Catholic Family and Community Services of Schenectady and Catholic Charities of the Diocese of Albany are desirous of providing a nutrition program for the citizens over the age of 60 to the Town and its' senior residents,

                BE IT FURTHER RESOLVED that the consideration to be paid by the Town of Glenville to the Scotia-Glenville Senior Citizens Recreation and Related Concerns, Inc. for its programs for the calendar year 2009 shall be the sum of Six Thousand Five Hundred Dollars[$6,500.00]; and

                BE IT FURTHER RESOLVED that Frank X. Quinn, Supervisor of the Town of Glenville, is hereby authorized to sign the attached contract on behalf of the Town of Glenville.; and

                BE IT FURTHER RESOLVED that the monies will be taken from Account 01.007620.4500.

                WHEREAS the Town of Glenville is interested in purchasing staff support for the purposes of providing increased tourism, economic development promotion and marketing from the Schenectady County Chamber of Commerce; and

                WHEREAS the current service will include but not be limited to the Schenectady Military Affairs (SMAC) work to ensure that the 109th Auxiliary at Stratton National Air Force Base continues; and

                NOW, THEREFORE, BE IT RESOLVED that the Glenville Town Board hereby authorizes the Supervisor to contract for the services of providing increased tourism, economic development promotion and marketing with the Schenectady Chamber of Commerce for $432.00 in 2009; and

                BE IT FURTHER RESOLVED that the monies we be taken from Account 01.00.6989.4000.

RESOLUTION NO. 38-2009

                WHEREAS, the Scotia-Glenville Children's Museum provides participatory programs in science, history and the arts to youth in the Town designed to arouse curiosity and stimulate an interest in learning; and

                WHEREAS, the Town is desirous of supporting the offering of these programs to its youth and has budgeted $3,000.00 to that end,

                NOW, THEREFORE, BE IT RESOLVED that the Town Board of the Town of Glenville hereby approves the attached agreement with the Scotia-Glenville Children's Museum and agrees to pay to it the sum of Three Thousand Dollars [$3,000.00] in exchange for the services listed therein to be provided by it; and

                BE IT FURTHER RESOLVED that Frank X. Quinn, Supervisor of the Town of Glenville, is hereby authorized to execute the contract for 2009 on behalf of the Town; and

                BE IT FURTHER RESOLVED that the monies will be taken from Account 02.00.7310.4000.

RESOLUTION NO. 39-2009

                WHEREAS, the Board of Representatives of the County of Schenectady has issued a Certificate to the Chief Financial Officer of the Town Certifying that the contribution of the Town of Glenville to the taxes of the County of Schenectady for the fiscal year beginning January 1, 2009 is $ 14,403,955.00; and

                WHEREAS, the Town must levy said sum against the taxable real estate, and direct the extension of such taxes against each such parcel,

                NOW, THEREFORE, BE IT RESOLVED

                1.  The Town Board of the Town of Glenville does hereby levy the sum of $ 14,403,955.00 by the County Legislature as said Town's contribution to the taxes of the County of Schenectady for the fiscal year beginning January 1, 2009.

                2.  The taxes due the County of Schenectady shall be extended against each parcel of taxable real estate at a rate to be established by the County of Schenectady per $1000 of taxable assessed value.

                3.  The Supervisor is hereby directed to execute and deliver a certificate to the Board of Representatives of the County of Schenectady certifying that the levy has been made and the extension of taxes directed in accordance with law.

RESOLUTION NO. 40-2009

                WHEREAS, a fire on January 1st, 2009 at 1983 Amsterdam Road has caused the dwelling located on that property to become structurally unsound; and

                WHEREAS, the property owner has been notified by certified mail that this situation is unsafe and must be remedied by January 9, 2009; and

                WHEREAS, said property owner may be unable or unwilling to correct this violation; and

                WHEREAS, a bid to tear down this structure and secure the site has been received for $6,000.00,

                NOW, THEREFORE, BE IT RESOLVED, that the Glenville Town Board does hereby authorize the Building Inspector to hire the services of an outside contractor to demolish the structure and secure the site at 1983 Amsterdam Road Tax Map No. 29.-4-7 at a cost not to exceed $6,000.00.

RESOLUTION NO. 41-2009

                WHEREAS, the Town of Glenville has been offered title to a street in the Sandlot subdivision as shown on a map entitled “Subdivision of Lands of Sandlot Enterprises, LLC” dated February 20, 2002, last revised October 10, 2002, prepared by Northeast Land Survey and Land Development Consultants, PC; said street to be known as the extension of Harlau Drive being 60’ in width and 850’ +/- in length, and

                WHEREAS, the Town of Glenville has been offered title to a certain street in the Eternity Heights subdivision as shown on a map entitled “Eternity Heights Overall Subdivision Plan” dated May 10, 2000, last revised April 16, 2001, prepared by Chazen Engineering & Land Surveying Co., P.C.; said street to be known as Maura Lane (Phase 1) and being 60’ in width and 3,022’ +/- in length, and

                WHEREAS, the Town of Glenville has been offered title to certain streets in the Lake Hill Manor, Phase 2 subdivision as shown on a map entitled “Subdivision Plan, Lake Hill Manor Phase 2”, dated July 28, 2003 and last revised May 19, 2004, prepared by ABD Engineers & Surveyors; said streets to be known as Lavant Lane, being 60’ in width and 1,904’ +/- in length and Chauncy Court, being 60’ in width and 1,770’ +/- in length, and

                WHEREAS, the Town of Glenville has been offered various easements, rights-of-way and retention areas in connection with the subdivisions referred to above.

                NOW, THEREFORE, BE IT RESOLVED that this Town Board does hereby accept title as Town Highways the extension of Harlau Drive, Maura Lane (Phase 1), Lavant Lane and Chauncy Court, together will all associated easements, rights-of-way and retention areas all more fully described in the subdivision maps referred to above, subject to a favorable review of title by the Town’s attorney; and it is

                FURTHER RESOLVED, that the Town Supervisor is, on behalf of this Town Board, authorized to execute any documents necessary to give effect to this Resolution and to consent to an order of the Town Superintendent of Highways laying out the said streets as Town Highways.
