A Special Meeting of the Board of Trustees of the Village of Briarcliff Manor, New York, was held in the Village of Briarcliff Manor Youth Center, 5 Van Lu Van Road, Briarcliff Manor, New York on the 24th day of February, 2009 commencing at 7:25 p.m.

Absent:
David Venditti, Trustee
Motion by Trustee Waxenberg and seconded by Trustee Mayer to open the Special Meeting.
PUBLIC COMMENTS
Mr. Nicholas Evanchik of Alder Drive asked what the reasons were for Ms. Richards no longer being the Village Manager, if the Acting Village Manager was still going to be the Mayor in Sleepy Hollow and if so, how would he do both jobs? He stated Sleepy Hollow was part of an agreement with the Village and wherein Sleepy Hollow would receive payments totaling $2,000,000 and asked if there would be a conflict of interest?
Mayor Vescio read the following statement regarding Ms. Richards’ separation agreement.
“Some of you may know that Ingrid Richard’s last day of work will be tomorrow. The Village would like to thank Ingrid for her many years of dedication and service to the Village. The Board of Trustees wishes her much success in her future endeavors”
Mayor Vescio stated the Mayor in Sleepy Hollow is an elected position as it is in Briarcliff Manor and also a part time volunteer position. He stated Mr. Zegarelli is not seeking re-election and his term as Mayor ends on April 1st. He stated Mr. Zegarelli will be a full-time employee of the Village of Briarcliff Manor. He stated Mr. Evanchik had his facts wrong. Tarrytown was receiving the $2,000,000 payments not Sleepy Hollow. He further stated if an issue arose with Sleepy Hollow regarding the water agreement, he would address it as Mayor and Mr. Zegarelli would recuse himself until April 1st from water issues to avoid any appearance of conflict.
BOARD appointmentS
Upon motion by Trustee Mayer seconded by Trustee Waxenberg the Board voted unanimously to approve the following resolution retroactive to February 23, 2009:
BE IT RESOLVED, that the Board of Trustees of the Village of Briarcliff Manor hereby makes the following appointments:
Philip Zegarelli as Village Manager to fill the unexpired term of Ingrid Richards to expire on April 1, 2009.
Philip Zegarelli as Ethics Board Member to fill the unexpired term of Ingrid Richards to expire on April 1, 2009.
Philip Zegarelli to the Tree Preservation Board to fill the unexpired term of Ingrid Richards to expire on April 1, 2009.
Philip Zegarelli as Deputy Village Clerk to fill the unexpired term of Ingrid Richards to expire on April 1, 2009.
AUTHORIZE MAYOR TO EXECUTE AN AGREEMENT WITH VILLAGE MANAGER
Upon motion by Trustee Smith seconded by Trustee Mayer the Board voted unanimously to approve the following resolution:
BE IT RESOLVED that the Mayor is authorized to execute an agreement with Philip Zegarelli, Village Manager.
Upon motion by Trustee Waxenberg and seconded by Trustee Mayer, the Board voted unanimously to adjourn the Special Meeting. The Special Meeting was adjourned at 7:35 p.m.
