MINUTES OF SPECIAL MEETING OF THE
AUBURN MUNICIPAL POWER AGENCY
TUESDAY, MARCH 30, 2010
AT 4:00 P.M.
Members Present: Dennis Zach Chairperson, John Montone, Nancy Hussey, Mike Luksa, Nicholas Brindak, William Graney,
Member Absent: Vijay Mital, Luke Rybarczyk and Krste Biljanoski
Staff Present: Andy Fusco, Christina Selvek, Mayor Michael Quill, Vicky Murphy, and William Lupien
Staff Absent: Mark Palesh (in other meeting) Tony DeCaro
Chairperson Dennis Zach called the special meeting to order at 4:00 p.m. on Tuesday, March 30, 2010. This meeting has been called retarding Canadian Turbines Inc., has everyone looked at the information that was sent that was in the paper. I think everyone has read the article regarding Potsdam that after them and half the other world. Andy maybe you can talk and come up with some suggestions.
Mr. Fusco: For starters since we are going to be discussing something involving litigation I think there should be a motion to go into Executive Session, all familiar faces here no members of the public. Motion made by Mayor Quill to go into Executive Session and seconded by Mike Luksa. All in favor of motion. (Committee goes into Executive Session).
Mr. Zach: Executive Session closed and meeting called back to order by Chairperson Denny Zach. A motion was made by Mayor Quill and seconded by Mike Luksa that Andy Fusco contact Richard Kuiper and his lawyer and set up a meeting for next Monday, April 5, 2010 at 4:00 p.m. in the third floor conference room. All in favor. Any further discussion on this motion? No further discussion.
Basically you have to put an RFP out again for proposals to see if somebody else will make a similar offer?
Mr. Montone: We don’t really have to.
Ms. Murphy: You may want to.
Mr. Luksa: That is what I was trying to get at I didn’t mean to go back to these people for a sale that is what I was asking you, I think Nancy was saying the same thing do we have a problem negotiating that with the other specs am I saying that right Nancy, can we go back to these people without any problems?
Mr. Fusco: I think from a pragmatic standpoint we do have a problem. I think if we stick to our guns and say were are not going to put up a nickel, you take all the risk and split the income with us we are not going to have any response. I have a feeling that is a problem.
Mr. Luksa: We are not offering to sell the property.
Mr. Fusco: And legally we can reject all six proposals and we start a new we have satisfied the law legally, I think we would have to do a second RFP it would be some where along the lines that we are looking for an operator to partner with us, come up with your terms and more than arms length negotiation then narrow down to semi-finalist to finalist.
Mr. Zach: We are obligated to contact all these proposers?
Mr. Fusco: Yes, might take an out another ad again.
Mr. Montone: Just put it out for bid. You don’t have to contact anybody.
Mr. Fusco: Unless you advertise you will probably get no bidders, you will nine of the same ten. To that extent it is a lot like the carbon credits. You know two or three people you circulate bids to two and three, those are the bids that you are going to get. If you find some clearinghouse that all these people read that is when we get a lot of interest and a lot of bids.
Mr. Montone: You tell him to bring as much information as he can on his projects, we don’t want to hear about whatever, what a great father he is, etc.
Ms. Selvek: All his financials too.
Mr. Zach: Anything else? Motion to adjourn made by Mike Luksa and second by Bill Graney. Meeting adjourned at 5:00 p.m.
